Terms of Service.

Last updated October 5, 2026. These terms are an agreement between you and Solvely LLC for the trybaton.dev website and the Baton software.

Agreement

These terms are between you and Solvely LLC ("we", "us"). They cover the website at trybaton.dev and www.trybaton.dev, and the Baton software.

You agree to these terms by using the website, joining the beta, installing Baton, or buying a plan. If you use Baton for a company, you agree for that company, and you confirm you can bind it.

You must be at least 16 years old.

The software

Baton is self-hosted software. You run it on your own server. There is no hosted Baton. Install steps are on the install page. During the beta, onboarding is in small batches.

Baton does not hold your code or your model keys. You bring both. You keep the harness you already use. People sign in on your server.

You are responsible for that server, the repositories connected to it, the people on it, and the model keys your harness uses.

License

If you comply with these terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to install and run Baton on servers you control, for the number of servers your plan covers, while that plan is active.

We keep all rights in Baton that we do not grant here. You keep all rights in your code and your model keys. You may not copy Baton except to install it under this license, and you may not rent, sell, or sublicense it. Offline license files are not available.

The website and the beta

This website explains the product and takes beta signups. It does not create an account. Joining the beta sends the email you submit. What we store is described in the Privacy Policy.

Sending the form asks to be considered for a batch. It does not reserve a price, a seat, or a date. The form says you will get one note when an invite is ready. Submit an email address you are allowed to give us.

The beta can change, pause, or stop. Pages on this site describe what Baton does today. The changelog is the public list of what shipped, and that page says it is not a complete history. We do not promise a feature, a ship date, or that the site or the software will stay available.

Acceptable use

You will not:

  • Break the law, or infringe someone else's rights, with the website or with Baton.
  • Probe, scan, or attack the website, the signup endpoint, or someone else's Baton install.
  • Interfere with the website or try to get at data you are not allowed to have.
  • Submit an email address you are not allowed to give us.
  • Reverse engineer Baton, except where the law forbids that limit.
  • Remove proprietary notices, or use Baton to offer a competing hosted service.

Price

Pricing is per server. One server means one running Baton install. The pricing page currently states:

  • Free. Up to 3 people. People already on a Free install keep working if the team grows past that. Adding a fourth person means moving to Pro.
  • Pro. $199 per server per month, or $1,990 a year. Unlimited people and agents on that server.
  • Founding offer. The first 20 paying teams may buy Pro at $99.50 per server per month. The founding section below is the rule for how long that price lasts.
  • Enterprise. From $15,000 a year, agreed in writing, for a larger install. SSO, SCIM, audit export to a SIEM, and offline license files are not available.

A price on the website is the price for the plan it describes. We may change prices for new purchases by updating the pricing page. A price change does not apply to a billing period you have already paid.

Subscription billing

Paid plans are billed in advance for the month or year you buy. Fees are in U.S. dollars and do not include taxes. Where the law requires us to collect a tax, we may add it.

You may cancel at any time. Cancellation takes effect at the end of the current billing period. You keep the plan until then. We do not refund fees for a partial period, unless the law requires a refund.

After a payment succeeds, we show a license key bound to the Baton server id for that subscription. The key is valid until the end of the paid period, plus 14 days. A private link on that page returns a key for the period that is currently paid, including after a renewal. You can update the card or cancel from the billing page linked there. The license ends when the subscription ends. Tax is not added at checkout until it is turned on.

If a payment fails, we may suspend the paid plan until it is paid. The license for that plan ends if the subscription ends.

Founding offer

The first 20 paying teams may subscribe to Pro at half price, $99.50 per server per month. We may reach out for early feedback. The discount lasts for as long as that subscription stays active. If the subscription ends, the discount ends with it.

Warranty disclaimer

THE WEBSITE AND THE SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, SOLVELY LLC DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE OR THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. SOME JURISDICTIONS DO NOT ALLOW THESE DISCLAIMERS, SO THEY APPLY TO THE FULLEST EXTENT THEY MAY.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SOLVELY LLC AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, HOWEVER CAUSED AND WHETHER OR NOT WE KNEW THEY WERE POSSIBLE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THESE TERMS, THE WEBSITE, OR THE SOFTWARE WILL NOT EXCEED THE FEES YOU PAID TO SOLVELY LLC FOR BATON IN THE 12 MONTHS BEFORE THE CLAIM. IF YOU PAID NO FEES IN THAT PERIOD, THIS CAP IS ZERO.

These limits apply to the fullest extent the law allows. They do not limit liability that the law does not allow us to limit.

Indemnification

You will indemnify, defend, and hold harmless Solvely LLC and its members, employees, and agents from claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of your use of the website or Baton, the code, data, or model keys you use with it, the server you run, or your breach of these terms or of the law.

Termination

You may stop using the website at any time. You may cancel a paid plan as described under subscription billing. The license ends when the plan ends.

We may suspend or end your access to the website, the beta, or the license if you breach these terms. For a breach we can reasonably expect you to fix, we will give you 30 days' notice first. We may act sooner if the breach is unlawful, unpaid fees, or a risk to the website or to other people.

When the license ends, you will stop running Baton. Sections that by their nature should continue stay in effect, including payment owed, the warranty disclaimer, the limit on liability, indemnification, and governing law.

Changes to these terms

We may change these terms. We will post the new terms on this page and change the date above. If you have a paid subscription, a material change applies at the start of the next billing period after we post it, unless the change is required by law. If you keep using the website or Baton after a change applies, you accept the new terms. If you do not agree, stop using Baton and cancel before the change applies.

Governing law and venue

These terms are governed by the laws of Indiana, without regard to conflict-of-law rules. The state and federal courts located in Indiana are the exclusive venue for disputes arising out of these terms, the website, or the software, and you consent to personal jurisdiction there.

Other terms

If a provision of these terms is unenforceable, the rest stays in effect. A delay in enforcing a right is not a waiver. You may not assign these terms without our consent. We may assign them to a successor of the business. These terms, and the Privacy Policy where it is named, are the entire agreement between you and Solvely LLC about the website and the software.
